Terms of Service
These Terms of Service (“Terms”) govern your use of the QuarterStone mobile application (“the App”) provided by Economic Laws Practice (“ELP”, “we”, “us”, “our”). By installing or using the App, you agree to these Terms.
1. Eligibility & access
- You may only use the App if you are a current ELP staff member or contractor and have been issued credentials by ELP IT.
- Account creation is controlled by ELP. We do not allow self-registration.
- You must be at least 18 years old.
- Your access may be suspended or terminated at any time by ELP, with or without notice, including (but not limited to) on cessation of your engagement with the firm.
2. Your responsibilities
- Keep your login credentials confidential. You are responsible for all activity carried out under your account.
- Notify ELP IT immediately of any suspected unauthorised access or compromise.
- Use the App only for the firm’s legitimate business purposes.
- Comply with all internal ELP policies, including the firm’s confidentiality, conflict-of-interest, and information-security policies.
- Comply with all applicable laws, including data-protection and professional-conduct rules.
3. Acceptable use
You agree not to:
- Reverse-engineer, decompile, disassemble, or attempt to derive source code from the App, except to the extent expressly permitted by law.
- Use the App or its data on behalf of any party other than ELP or in connection with any non-ELP work.
- Disclose, copy, transmit, or otherwise make available any client data, matter information, billing detail, or staff personal data accessed through the App, except as permitted by your duties at ELP.
- Bypass, interfere with, or attempt to test the security of the App or the firm’s servers.
- Introduce malicious code, attempt unauthorised access, or scrape data at scale.
- Use the App to send unsolicited messages, harass colleagues, or upload unlawful content.
- Install the App on a jailbroken or rooted device, or on a device that does not meet ELP’s minimum security requirements.
4. Confidentiality
All information you access through the App — including but not limited to client identities, matter details, time entries, billing data, internal communications, and staff personal information — is strictly confidential and may also be subject to attorney-client privilege. You must treat it with the same standard of care as any other ELP client material.
Your confidentiality obligations under your employment or engagement agreement with ELP, and under applicable professional-conduct rules, apply in full to your use of the App and survive its termination.
5. Intellectual property
The App, including its code, design, logos, and the “QuarterStone” name, is owned by ELP or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the App on devices you personally control, solely for ELP business purposes, for as long as these Terms remain in effect.
You may not transfer this licence, sub-license it, or use it after your engagement with ELP ends.
6. Third-party services
The App relies on the following third-party services:
- Firebase Cloud Messaging (Google LLC) and Apple Push Notification service (Apple Inc.) for push delivery.
- Microsoft Azure and Microsoft Graph for optional Outlook calendar sync.
- Google Play and the Apple App Store for distribution.
Use of those services is also subject to their own terms. ELP is not responsible for the availability or behaviour of any third-party service.
7. Privacy
Our handling of personal information is described in our Privacy Policy, which forms part of these Terms.
8. Updates & availability
- We may update the App at any time. Updates may be required to keep using the App.
- We may modify, suspend, or discontinue any feature of the App without notice.
- The App is provided “as is” and “as available”. We do not guarantee uninterrupted or error-free operation.
9. Disclaimer of warranties
To the maximum extent permitted by law, the App is provided without warranties of any kind, whether express, implied, statutory or otherwise, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, ELP and its officers, employees, and contractors shall not be liable to you for any indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with the App, even if advised of the possibility of such damages. Our total aggregate liability arising from your use of the App shall not exceed INR 1,000.
Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded.
11. Termination
- You may stop using the App at any time by uninstalling it.
- ELP may terminate or suspend your access to the App immediately, without notice, if you breach these Terms or your engagement with the firm ends.
- Sections covering confidentiality, intellectual property, disclaimer of warranties, limitation of liability, and governing law survive termination.
12. Governing law & jurisdiction
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced inside the App or by email. The “Last updated” date at the top of this page reflects the most recent revision. Continued use of the App after a change constitutes acceptance of the revised Terms.
